    Commercial Use of Images Agreement
    UW CoMotion Express License

    The University of Washington, an institution of higher education having administrative offices at UW CoMotion, Seattle, Washington (“UW”) and the undersigned licensee (“Licensee”) hereby agree to enter into this Commercial Use of Images Agreement (“Agreement”). UW and Licensee agree as follows, effective on the last date a signature appears on this document (“Effective Date”):

    Licensee desires to include Musculoskeletal Atlas digital images as contained in the Musculoskeletal Atlas digital images CD-ROM ("Images") developed by Carol Teitz, M.D. and Dan Graney, Ph.D. solely for the purpose of illustrations as provided for the Licensee's publications in print, digital, and all other media including worldwide reproduction and distribution (“Work”).

    As part of this Agreement, Licensee must determine whether the use is commercial or educational.  Please review the “Commercial” and “Educational” definitions below to confirm which use more accurately describes your situation. This Agreement is for Commercial Use.  If you are seeking a different agreement, please return to the licensing page.  If Licensee is unsure about the intended use and needs help, contact the UW for assistance at:  license@uw.edu .

      1. “Commercial” means use any use by a for-profit entity for research, development, product-development and experimental use of the Work and Images.
      2. “Educational” means use solely for internal teaching or research or development of the Work and Images by an accredited education or government entity.

      Provided that Licensee conforms to the conditions identified below, UW hereby grants permission to Licensee to include Images in the Work:

    1. 1. Licensee may modify the Images only for the purposes of formatting the images for the Work and its publishing process, including formatting size, color, and using the images with or without labels.
    2. 2. Licensee may not re-use, re-distribute, modify, or adapt the Images other than for the purpose identified above without prior written permission of the authors and the UW.
    3. 3. The term of this Agreement is unlimited for the use of the Images to be reproduced as illustrations in the Work.
    4. 4. Each use of the Images shall state in a font size no smaller nine-point: “Copyright 2003-2004 University of Washington, Seattle, Washington, U.S.A. All rights reserved including all photographs and images. No re-use, re-distribution or commercial use without prior written permission of the authors and the University of Washington.”
    5. 5. The Work must provide acknowledgement stating (or equivalent thereof): “Musculoskeletal images are from the University of Washington ‘Musculoskeletal Atlas: A Musculoskeletal Atlas of the Human Body’ by Carol Teitz, M.D. and Dan Graney, Ph.D.” or an acknowledgement for individual images.
    6. 6. Payment of $1,545 U.S. Dollars (“USD”) will be requested at the time of signing, and must be made by credit card.
    7. 7. The Images will be provided to Licensee at no cost to the UW and the Images are available "AS IS" without obligation to provide services or support.
    8. 8. To the extent allowed by law, the Licensee agrees to defend, indemnify, and hold the UW and its officers, regents, employees, students, and agents harmless from any loss, claim, damage, or liability, of whatsoever kind of nature, which may arise from, or in connection with the Images.
    9. 9. This Agreement is made in and shall be governed by the laws of the state of Washington. Any suit, action, or proceeding arising out of or relating to this Agreement shall be decided in King County, Washington.
    10. 10. Licensee understands UW is an agency of the state of Washington and is required by Washington state law to maintain public records under RCW 42.56. If UW receives a public disclosure request for this Agreement, UW shall notify Licensee of the request.
    11. 11. This Agreement and the rights and benefits conferred upon the parties hereunder may not be assigned or otherwise transferred by Licensee without the prior written consent of the UW, except that Licensee may assign the Agreement to any third party which succeeds by operation of law to, purchases, or otherwise acquires substantially all of the assets of Licensee.
    12. 12. If any provision of this Agreement shall be held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be in any way affected or impaired thereby.
