Non-Tribal Site End User Agreement

This agreement is for access to the rETHICS Toolkit for one or more Non-Tribal Sites, who each will receive one user ID and password. - 1.1 “End User” means the contact person who authorizes all access to the Work.
- 1.2 “Non-Tribal Site” means a physical location at an entity or center within a non-tribal academic institution, as authorized by the End User, which provides access to the Work to Site Users (as defined herein). An End User may authorize multiple Non-Tribal Sites to access the Work.
- 1.3 “Site Users” means up to 50 people employed by, or volunteering at, a given Non-Tribal Site who are authorized by the End User to access the Work, whose contact information (including the user’s Name, Address, Email, and Phone) is maintained by the End User in a list for each Non-Tribal Site, which will be made available for review by UW upon request.
- 2. License Grant
- 2.1 Provided that End User completes and maintains a list of Site Users, pays the license fees per Section 3 “Fees, Delivery, and Format,” and conforms to the terms and conditions of this Agreement, UW hereby grants, and End User accepts, a limited, non-transferable, non-exclusive license to access, display, and perform the Work via one shared password issued to the End User. End User may print materials from the Work, provided such printouts are primarily for End User’s use and are not a substantial portion of Work. Any other use including all commercial use and sublicensing requires prior written permission of UW.
- 2.2 End User may not copy, modify, translate, decompile, disassemble, or reverse engineer the Work or any copy thereof, or transmit the Work or any portion or copy thereof over a non-UW network.
- 2.3 End User shall gain no ownership in the Work and shall retain in the Work the copyright, trademark, or other notices pertaining to the Work as provided by UW.
- 2.4 End User shall not distribute, publish, or otherwise transfer or allow to be transferred the copies thereof, in whole or in part, without prior written permission of UW. For clarity, the grant of rights is limited solely to the End User.
- 2.4.1 Notwithstanding the foregoing, End User has UW’s permission to deploy the Work to the authorized Non-Tribal Sites and Site Users, and is responsible for maintaining the information therein and conveying terms of this Agreement to all Site Users.
- 2.5 UW reserves the right to modify or make improvements in the Work at any time without notice. UW shall endeavor to correct and revise any issues as identified by UW relating to the Work's operation.
- 3. Fees, Delivery, and Format
- 3.1 End User shall pay to UW Fees identified below (“Fees”), due upon execution of this Agreement.
- $3605 US Dollars (“USD”) per Non-Tribal Site
- Up to 50 users total are allowed per Non-Tribal Site
- 3.2 Fees are non-refundable and due upon End User's execution of this Agreement.
- 3.3 Payment will be requested at the time of signing in USD, and can be made by credit card, wire transfer, check, or purchase order (“PO”) per the payment option selected. For payments made by wire transfer, there is an additional fee of $30 USD. If paying by wire transfer, check, or PO, an invoice will be sent to the invoicing contact as provided. Payment must be received within 30 days of invoicing to retain access.

Email: ipfin@uw.edu - 3.4 Upon execution of this Agreement and receipt of Fees, UW will send the password and instructions on accessing the Work to the End User at the email address as provided within 3 business days. One shared password is issued to the End User for internal distribution of the Work.
- 3.5 End User is responsible for distributing the password for accessing the Work to Non-Tribal Site(s) and Site Users.
- 4. Term and Termination
- 4.1 The term of this Agreement is for the lifetime of the copyright of the Work.
- 4.2 End User may terminate this Agreement at any time upon written notice to UW.
- 4.3 UW may terminate this Agreement if End User is in default of any of its obligations set forth herein and fails within 30 days of a written demand for performance to cure such default. UW may also, at its sole discretion, terminate this Agreement without notice if Fees have not been received within ninety (90) days of Effective Date.
- 4.4 The provisions under which this Agreement may be terminated will be in addition to any and all other legal remedies which either party may have for the enforcement of any and all terms hereof, and do not in any way limit any other legal remedy such party may have.
- 4.5 Termination of this Agreement will terminate all rights and licenses granted to End User relating to Work.
- 5. Warranties and Disclaimers
- 5.1 Work is intended for researchers and professionals involved in American Indian and Alaska Native research ("Audience"). Work is not meant to be a substitute for professional judgment. End User is responsible for ensuring the Audience associated with End User's use of the Work is appropriate.
- 5.2 End User agrees that he/she/they is the sole determiner of how the Work is deployed and is responsible for any use of the Work by Individual Users. End User and Site Users shall include the following notice (or the equivalent thereof) in any printed excerpts: "rETHICS is the copyright of the University of Washington and licensed to [End User Name]."
- 5.3 End User acknowledges that Work is for informational and educational purposes only and is not a substitute for End User's professional judgment. END USER'S RELIANCE UPON WORK IS SOLELY AT END USER'S OWN RISK AND IF END USER USES THE WORK IN THE TRAINING OF OTHERS, END USER ASSUMES THE RESPONSIBILITY AND THE RISK FOR EVERYONE TO WHOM END USER GIVES ACCESS, OR FOR WHOM END USER DISPLAYS OR PERFORMS THE WORK.
- 5.4 Work is an academic research tool that is experimental in nature and is supplied "AS IS", without obligation by the UW to provide accompanying services or support. The entire risk as to the quality and performance of the Work is with End User.
- 5.5 UW EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, PERTAINING TO THE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF WORK OR ANY OTHER MATERIALS OTHERWISE PROVIDED TO END USER UNDER THIS AGREEMENT.
- 6. Notices
- 6.1 Notices, requests, and other communication required or permitted under this Agreement shall be in writing, shall refer specifically to this Agreement, and shall be deemed delivered upon receipt. If sent by email or facsimile (provided that a transmittal sheet indicates confirmation), or other electronic transmission, a confirmation copy will be forwarded. Any such notices, requests, and other communications shall be addressed as follows:

Seattle, WA 98105 - 6.2 UW or the End User, by written notice, may change the End User or address to which notices will be sent. Unless so notified of a change of address, all notices mailed to the End User or UW as identified in Section 6.1 will be deemed sufficient.

To complete this agreement, you will be directed to a page to enter the following information. In situations where contacts are the same individual, the information must be completed for each contact.
- Contact information for the End User (including name, title, address, email, phone, and fax); and
- Contact information for each Non-Tribal Site (including name, address, email, and phone).
Payment will be requested at the time of signing in US Dollars (“USD”), and can be made by credit card, wire transfer, check, or Purchase Order (“PO”) per the payment option selected. For payments made by wire transfer, there is an additional fee of $30 USD. If paying by wire transfer, check, or PO, an invoice will be sent to the invoicing contact as provided. Payment must be received within 30 days of invoicing to retain access.
Upon receipt of payment, you will receive a confirmation and copy of the fully executed Agreement. You will then be contacted by the UW to set up access. Access is typically established within three business days of Agreement execution.

Non-Tribal Site End User License Agreement
This rETHICS Training Toolkit Non-Tribal Site End User License Agreement ("Agreement") is made between the University of Washington, a public institution of higher education and an agency of the state of Washington acting through its office UW CoMotion, Seattle, WA (“UW”) and the undersigned end user (“End User”) at one or more Non-Tribal Site(s) as defined herein (“Non-Tribal Site(s)”). UW and End User agree as follows effective as of the latest date upon which this Agreement is fully executed (“Effective Date”).
BACKGROUND
rETHICS Training Toolkit is a culturally tailored training program for human subjects research with American Indian communities which includes Indigenous research principles and a grounding in the Common Rule ("Work") and is the intellectual property of the UW. The Work is protected by copyright laws and international treaties and is licensed by UW on the terms and conditions set forth below.
